The Company moves ahead with its commitment to good governance
The Board of Directors of Enagás today approved the appointment of Independent Director José Riva Francos as a member of the Audit and Compliance Committee. This addition maintains the Committee’s balance between the number of independent and proprietary directors.
The Board also approved the delegation of powers to the Chairman of the Appointments, Remunerations and Corporate Responsibility Committee, currently independent director Dionisio Martínez Martínez, to call board meetings or include new items on the agenda in order to coordinate and convey the concerns of Directors and to lead the Board’s evaluation of its chairman.
These resolutions evidence the ongoing commitment of Enagás to adapt to the most demanding standards of good governance, not only in Europe, but also elsewhere.
José Riva, a Director at the Company since 2002, is an architect with considerable professional experience in both architecture and business management. He is currently Vice-Chairman and Chief Executive Officer of Grupo Suardíaz and a Director at Logista.
The current chairman of the Appointments, Remunerations and Corporate Responsibility Committee, Dioniso Martínez, also a Director at Enagás since 2002, has a Doctorate in Law from Madrid’s Universidad Complutense, is a graduate of Harvard’s ITP (International Tax Program), and Professor of Financial and Tax Law at Universidad Complutense. He has a long-standing professional track record in the public sector and as an independent attorney.
